ProfitSource Vendors — Terms of Service

1. General Overview & Acceptance of Terms

These Terms of Service (the "Terms," "Agreement," or "TOS") constitute a legally binding agreement between you ("you," "user," "customer," "member," or "subscriber") and ProfitSource Vendors ("ProfitSource Vendors," "we," "us," or "our"), governing your access to, use of, and purchase of any products, services, subscriptions, digital materials, or related offerings made available through our website, platforms, portals, or communications.

By accessing our website, completing a checkout process, enrolling in any trial, subscription, or membership, downloading digital materials, or otherwise using our services in any manner, you expressly acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy, Refund Policy, and any additional disclosures presented at checkout or delivery, all of which are incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must not access or use ProfitSource Vendors in any capacity.

2. Scope and Nature of Services (Digital Products Only)

ProfitSource Vendors operates exclusively as a provider of digital informational products and digital access services. Under no circumstances does ProfitSource Vendors sell, ship, or distribute physical goods.

Our offerings may include, without limitation:

• Digitally delivered supplier and vendor information
• Downloadable digital files, documents, PDFs, guides, databases, and resources
• Subscription-based or membership-based access to proprietary digital vaults, libraries, or supplier lists
• Periodically updated or refreshed digital content provided during an active subscription term

All products, materials, and access are delivered electronically via secure links, digital portals, dashboards, or email correspondence. Delivery is deemed complete at the moment access is granted.

3. Refunds, Disputes, and Chargebacks

All purchases made through ProfitSource Vendors are governed by our Refund Policy, which forms an integral part of these Terms.

Refund window. Because our products are digital and delivered immediately upon purchase, refund eligibility is limited as follows:

• One-time digital purchases: Refunds may be requested within 3 days of the purchase date by contacting support at the address in Section 13.
• Subscription and membership fees: The most recent recurring charge may be refunded if requested within 3 days of that charge. Prior billing cycles are not eligible for refund.
• Trial conversions: If you do not cancel before the trial ends and are charged, you may request a refund within 3 days of the conversion charge.

After the applicable refund window has passed, charges are considered final.

Customer service first. If you experience a billing concern, problem with access, or other issue, we ask that you contact us at the support address in Section 13 before initiating a payment dispute, so that we can attempt to resolve the matter directly. Most issues can be resolved quickly through direct contact.

Your dispute rights are preserved. Nothing in these Terms limits, waives, or restricts any rights you may have under your cardholder agreement, applicable card network rules (including Visa, Mastercard, American Express, and Discover operating regulations), or applicable law to dispute a charge with your card issuer. Initiating a chargeback or payment dispute is not, by itself, a violation of these Terms.

Our response to disputes. If a dispute is filed with a card issuer, ProfitSource Vendors may, in accordance with the issuer's and network's standard dispute procedures, submit transaction records, delivery confirmations, access logs, timestamps, policy disclosures, and other relevant documentation in response.

4. Third-Party Vendors & Information Disclaimer

ProfitSource Vendors functions solely as an informational intermediary and digital access provider. We do not operate, manage, own, endorse, or control any third-party suppliers, vendors, manufacturers, or service providers referenced within our materials.

You expressly acknowledge and agree that:

• All vendors are independent third parties
• Vendor pricing, inventory, quality, shipping, fulfillment, and business practices are beyond our control
• ProfitSource Vendors makes no representations or warranties regarding supplier performance or reliability
• Any communication, transaction, or agreement with a supplier occurs solely between you and that supplier

ProfitSource Vendors does not guarantee income, profitability, success, or results of any kind.

5. User Information & Account Accuracy

You agree to provide accurate, current, and complete information during checkout, account creation, and any subsequent updates.

ProfitSource Vendors reserves the right, at its sole discretion, to suspend, restrict, or terminate access if information provided is inaccurate, misleading, fraudulent, incomplete, or otherwise in violation of these Terms or applicable laws.

6. Acceptable Use & Restrictions

You agree that you will not, directly or indirectly:

• Share, resell, sublicense, lease, or redistribute ProfitSource Vendors content
• Copy, scrape, reproduce, or duplicate supplier information
• Allow third parties to access your account or materials
• Use content for unlawful, deceptive, misleading, or fraudulent purposes
• Misrepresent ProfitSource Vendors, its services, or its materials

Any violation of this section may result in termination of access in accordance with Section 9.

7. Intellectual Property Rights

All content, branding, logos, trademarks, digital materials, proprietary databases, compilations, and resources provided by ProfitSource Vendors are the exclusive property of ProfitSource Vendors and are protected by applicable intellectual property, copyright, and trademark laws.

Unauthorized use, reproduction, modification, or distribution is strictly prohibited.

8. Disclaimer of Warranties & Limitation of Liability

All services, materials, and digital products are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

ProfitSource Vendors expressly disclaims liability for:

• Lost revenue, profits, or business opportunities
• Supplier disputes or third-party failures
• Financial losses or expectations
• Any indirect, incidental, consequential, or special damages

Use of ProfitSource Vendors is entirely at your own risk.

9. Termination of Access

ProfitSource Vendors reserves the right to suspend or terminate access for the following reasons:

• Material violations of these Terms
• Fraudulent activity, misrepresentation, or unauthorized use
• Violations of the Acceptable Use restrictions in Section 6
• Non-payment or repeated payment failures
• Activity that violates applicable law

Where reasonably possible, we will provide notice before terminating access. Termination for cause does not entitle the user to a refund of charges that fall outside the refund window described in Section 3.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

11. Membership, Subscriptions & Recurring Billing

Subscription Enrollment & Trial Terms

Certain ProfitSource Vendors offerings include recurring subscription access. By enrolling, you acknowledge and agree that your participation may include a promotional trial period, after which paid billing automatically begins unless properly canceled.

Subscription enrollment may include, but is not limited to:

• A 3-day promotional trial period, during which limited or full access may be granted
• Automatic conversion to a paid subscription at the end of the trial
• A recurring charge of $39.99 every 30 days, or such other amount as clearly disclosed at checkout

By enrolling, you authorize ProfitSource Vendors to automatically charge the payment method on file on a recurring basis until you cancel. You will receive an electronic reminder before the trial converts to a paid subscription, and a receipt after each recurring charge.

Membership Access & Benefits

While an account remains active and in good standing, members may receive access to:

• Digitally curated supplier resources
• Periodically updated vendor lists
• Exclusive or restricted-access digital content
• Continued access contingent upon an active subscription

All benefits are subject to change, modification, or removal at our discretion.

Cancellation Terms

You may cancel your subscription at any time, easily and without penalty, by:

• Following the self-service cancellation instructions provided in your account dashboard or in the welcome email sent after purchase, or
• Contacting support at profitsource7@gmail.com or calling (859) 445-0354

Cancellation:

• Stops all future billing immediately
• Allows access to remain active through the end of the current billing cycle
• Does not, on its own, refund prior charges; refunds are governed by Section 3

The cancellation method available to you online is at least as simple as the method used to enroll.

12. Modifications to Terms

ProfitSource Vendors reserves the right to modify or update these Terms at any time by posting revised terms on our website. Material changes will be communicated to active subscribers by email where reasonably possible. Continued use after such changes constitutes acceptance.
